These Terms of Use (“Terms”) govern your access to and use of the services provided by DS AI Ltd (“we”, “us”, “our”) via our software-as-a-service (SaaS) platform (the “Service”). If a Contract specifies that you have ordered a subscription to the Service, then subject to the terms of this Agreement and the applicable Contract, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license during the Subscription Term (as specified in the Contract) to access and use the Platform for your internal business purposes. By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.
Access and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You must not share your login credentials with any other person.
You agree to notify us immediately if you suspect or become aware of any unauthorised access to your account.
Acceptable Use
You agree not to use the Service:
for any unlawful, harmful, fraudulent, or abusive activity;
to harass, threaten, or harm any individual or group;
in a manner that could damage, disable, disrupt, or impair the functioning or security of the Service or our systems.
You must not attempt to gain unauthorised access to any part of the Service, its systems, or networks.
You agree to ensure that only those of your employees, contractors, or agents who are properly authorised by you may access and use the Service. You are solely responsible for:
managing and controlling access to your account;
ensuring that each authorised user has their own unique login credentials, which are not shared with others;
ensuring the confidentiality and security of all login credentials;
ensuring that all authorised users comply with these Terms; and
all activity conducted through your account, whether or not you have given express permission.
Third-Party Services and User Responsibility
You confirm that you have obtained and will maintain all necessary legal rights, consents, and permissions (including but not limited to intellectual property rights, copyright, data access rights, and contractual permissions) required to use the Service for its intended purposes.
If you use the Service to connect to, access, retrieve, interact with, or process data from any third-party service, system, application, platform, website, or data source, whether public or private, you are solely responsible for:
ensuring that such access and use are lawful and authorised;
complying with all applicable terms of service, licences, user agreements, privacy policies, and any other contractual obligations associated with the third party;
verifying that your use of the third-party service in conjunction with our platform does not infringe upon any intellectual property, confidentiality, or data protection rights.
By using the Service, you explicitly acknowledge and agree that:
It is your sole responsibility to determine whether your use of third-party content or systems via our platform is compliant with all legal and contractual requirements;
We do not monitor or validate your access to or use of third-party systems or content;
We disclaim any liability for unauthorised or unlawful access or use of third-party services through the Service.
Intellectual Property
All rights, title, and interest in and to the Service (including but not limited to all software, designs, content, and underlying technology) remain the exclusive property of DS AI Ltd or its licensors.
Your use of the Service is subject to these Terms and is limited to the rights expressly granted herein.

We will process your personal data in accordance with applicable UK data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
Termination
We reserve the right to suspend or terminate your access to the Service at any time, without notice, if you breach any provision of these Terms.
Upon termination, your right to use the Service will cease immediately.

Limitation of Liability

any unauthorised access to or alteration of your transmissions or data;
any conduct or content of any third party using the Service;
any other matter relating to the Service.
Our total liability to you for any and all claims, losses, or damages arising out of or related to these Terms or your use of the Service shall not exceed the total amount paid by you (if any) to us for the Service in the twelve (12) months preceding the event giving rise to the liability.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability which cannot be excluded or limited under applicable law.
Indemnity

Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
By logging in or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms.
